Key Takeaways
- No ESR filing is required for financial years ending after 31 December 2022
- 2019 to 2022 ESR obligations are still enforceable
- ESR fines for later years (post-2022) are cancelled and refunded
- Economic substance is now tested under corporate tax for the 0% rate
- If the ESR test fails, business loses QFZP status for five tax periods
ESR notifications and reports are no longer required for any financial year ending after 31 December 2022.
The Cabinet withdrew the filing requirement through Cabinet Decision No. 98 of 2024, which the Ministry of Finance announced on 14 October 2024. If your business only started operating from 2023 onward, ESR filing doesn’t apply to you.
The withdrawal doesn’t mean “economic substance” as a concept has disappeared. It’s been absorbed into Corporate Tax instead, and free zone companies specifically still need to meet a substance test to keep their 0% tax rate.
Here’s what changed, what’s still owed from the old regime, and what actually matters now.

What Were the UAE Economic Substance Regulations (ESR)?
ESR was introduced in 2019 as part of the UAE’s commitment to the OECD’s Inclusive Framework, requiring UAE entities to maintain a genuine “economic presence” relative to the activities they carried out.
It applied to entities conducting one or more Relevant Activities: banking, insurance, investment fund management, lease-finance, headquarters, shipping, holding companies, intellectual property, and distribution and service centre businesses.
Under the original regime, Licensees had to submit an annual notification within 6 months of their financial year end, and a full report within 12 months, demonstrating the substance test had been met.
If you’re setting up a new free zone company today, SPCFZ’s business setup guide covers what compliance actually looks like under the current rules, not the old ESR framework.
ESR Changes in 2024: What Filing Rules Changed?
Cabinet Decision No. 98 of 2024 capped ESR’s application at financial years ending on or before 31 December 2022. For any period from 1 January 2023 onward, there’s no notification, no report, and no substance test to file under ESR specifically.
If your business operated during the ESR Period (2019 to 2022) and has outstanding notifications or reports from that window, those obligations remain enforceable. The Federal Tax Authority retains audit powers over those years, and any unpaid penalties from that period are still due.
Fines issued for financial years after 31 December 2022, on the other hand, have been cancelled and refunded where already paid.
Businesses should retain ESR-related documentation for at least six years after the relevant reportable period, since the FTA can still request it. Our documentation service handles attestation and translation if a regulator asks for certified copies.
Corporate Tax Substance Requirements for UAE Free Zone Companies
This is the part that actually matters for most readers today.
If you’re a free zone company claiming the 0% Corporate Tax rate as a Qualifying Free Zone Person (QFZP), you still need to demonstrate adequate substance, just under a different framework.
Under Cabinet Decision No. 100 of 2023 (Article 8), a QFZP must:
Conduct its core income-generating activities within the free zone
Maintain adequate assets in the free zone relative to those activities
Employ an adequate number of qualified, full-time staff in the free zone
Incur a reasonable amount of operating expenditure in the free zone
Fail any one of these, and the company loses QFZP status for that tax period and the following four, meaning a minimum five-year exclusion from the 0% rate before it can even retest.
Practical ESR and Corporate Tax Scenarios for Free Zone Businesses
A few concrete scenarios show how this plays out in practice.
A consultancy with a genuine office and staff in the free zone. If your team, decision-making, and client work all happen from your free zone premises, you’re generally in a strong position.
This is closest to what ESR used to check for, just assessed through the Corporate Tax lens now. Our coworking spaces are built to support exactly this kind of genuine on-site presence, not just a mailing address.
A holding company with a board but no staff. This can still qualify. Board decision-making itself counts as the core income-generating activity for a pure holding structure, provided board meetings and minutes genuinely take place at the free zone address, not just on paper.
A distribution business with delivery staff working outside the zone. Routine delivery execution doesn’t count against you, but if staff outside the zone are actually negotiating contracts or driving sales, that activity needs to happen inside the zone (or a Designated Zone, for distribution specifically) to keep QFZP status intact.
Outsourcing core activities. This is allowed, but only to a person located in a free zone or a Designated Zone (it does not have to be your own free zone), and only with adequate, documented supervision on your side. Outsourcing to a provider outside the free zones breaks the substance test.
FAQs About UAE ESR & Corporate Tax
1. Do I still need to file an ESR notification for 2024 or 2025?
No. ESR filing was withdrawn for any financial year ending after 31 December 2022, so no notification or report is due for 2024, 2025, or later.
2. I never filed my ESR notification for 2021. Do I still need to?
Yes. Obligations for financial years within the 2019 to 2022 ESR Period remain enforceable, and outstanding filings should be completed as soon as possible.
3. Does this mean free zone companies no longer need to show economic substance?
No. The concept moved to Corporate Tax instead. A Qualifying Free Zone Person still needs to demonstrate adequate substance to keep the 0% rate on qualifying income.
4. What happens if my company fails the substance test under Corporate Tax?
You lose QFZP status for that tax period and the following four, so the company is taxed at the standard rates, 0% up to AED 375,000 of taxable income and 9% above, for a minimum of five tax periods before it can requalify.
5. Can I get a refund if I already paid an ESR fine for 2023 onward?
Yes. Cabinet Decision No. 98 of 2024 confirms that penalties paid for financial years ending after 31 December 2022 are being cancelled and refunded.
6. How can SPC Free Zone help with Corporate Tax compliance?
Our SPC Finance service handles corporate tax registration and filing, VAT registration, audit reports and bookkeeping. Get in touch if you’re unsure whether your company still has an outstanding ESR obligation from the 2019 to 2022 period.
